Welcome to AgencyOrbit.io, operated by AgencyOrbit, LLC (“AgencyOrbit,” “we,” “our,” or “us”). These Terms and Conditions (“Terms”) govern your access to and use of the AgencyOrbit website, products, and services (collectively, the “Service”).

AgencyOrbit provides AI-powered communication tools designed for insurance agencies, including but not limited to:

  • Automated phone answering and call routing

  • Lead capture and management

  • Claims assistance and data intake

  • Client policy lookup and service automation

  • Analytics and CRM integration

These tools are intended to assist, not replace, licensed insurance agents or compliance staff.

2. Eligibility

You must be at least 18 years old and authorized to act on behalf of a licensed insurance agency or business entity to use the Service. By using AgencyOrbit, you represent that all information provided is accurate and that you comply with all applicable insurance, data protection, and communication laws.

3. Account Registration

To use certain features, you must create an AgencyOrbit account. You agree to:

  • Provide accurate and up-to-date registration information.

  • Maintain the security of your account credentials.

  • Notify us immediately of any unauthorized use of your account.

AgencyOrbit is not responsible for any loss or damage arising from unauthorized access due to your failure to maintain security.

4. Subscription and Payment

Access to AgencyOrbit is provided via subscription.

  • Pricing, features, and billing cycles are disclosed at signup or in your contract.

  • You authorize recurring billing for your subscription term.

  • Late payments may result in service suspension.

All fees are non-refundable except as required by law.

5. Acceptable Use

You agree not to use AgencyOrbit to:

  • Violate any laws or regulations, including TCPA, HIPAA, or state insurance compliance standards.

  • Misrepresent your agency, products, or services.

  • Collect or transmit sensitive personal data without proper authorization.

  • Interfere with or disrupt the operation of our platform.

AgencyOrbit reserves the right to suspend or terminate accounts violating these policies.

6. Data and Privacy

We take your privacy seriously. Our Privacy Policy explains how we collect, use, and protect data.

  • AgencyOrbit may record or transcribe calls for quality assurance, analytics, and functionality.

  • You are responsible for ensuring that your use of the Service complies with applicable privacy and consent laws in your jurisdiction.

  • AgencyOrbit will not sell or share your data with third parties, except as necessary to provide and improve the Service.

7. AI and Automation Disclaimer

While AgencyOrbit employs advanced AI and automation, it is not a substitute for licensed professional advice.

  • AI responses may be limited to general information or scripted data.

  • Users are responsible for reviewing and verifying any information before communicating it to clients.

  • AgencyOrbit does not assume liability for errors, omissions, or misunderstandings caused by AI interactions.

8. Intellectual Property

All software, designs, graphics, text, and content on AgencyOrbit are the property of AgencyOrbit, LLC or its licensors. You may not:

  • Copy, modify, or distribute any part of the Service.

  • Reverse-engineer or attempt to extract source code.

  • Use our trademarks or branding without written permission.

9. Third-Party Integrations

AgencyOrbit may connect with third-party platforms such as CRMs, AMS systems, or phone carriers.

  • You are responsible for ensuring compliance with those providers’ terms.

  • AgencyOrbit is not responsible for third-party functionality or data practices.

10. Service Availability

We strive for 99.9% uptime but do not guarantee uninterrupted access. Maintenance, updates, or network issues may occasionally impact availability.

AgencyOrbit will not be liable for service interruptions due to factors outside our reasonable control.

11. Limitation of Liability

To the fullest extent permitted by law:

  • AgencyOrbit shall not be liable for indirect, incidental, or consequential damages.

  • Our total liability for any claim shall not exceed the amount you paid to us in the preceding 12 months.

12. Indemnification

You agree to indemnify and hold harmless AgencyOrbit, its affiliates, officers, and employees from any claims, damages, or expenses arising from:

  • Your use or misuse of the Service.

  • Violation of these Terms or applicable laws.

  • Infringement of any third-party rights.

13. Termination

We may suspend or terminate your access at any time for:

  • Breach of these Terms

  • Non-payment

  • Misuse or abuse of the platform

Upon termination, all rights granted under these Terms will cease, and you must discontinue all use of the Service.

14. Changes to Terms

We may modify these Terms at any time by posting the updated version on our website. Continued use of the Service constitutes acceptance of any revised Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Minnesota, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Carver County, MN, unless otherwise agreed in writing.
